Please read the following terms and conditions (“Terms”) of use carefully before using the Tavanta Therapeutics, Inc. (“Tavanta”) website, located at https://www.tavanta.com/, or other Tavanta-owned digital properties (collectively referred to herein as the “Websites”). Your use, access, or viewing of, or submission of any content to or through (collectively, “use”), the Websites is subject to, and constitutes your acceptance of and agreement to be bound by these Terms. By using the Websites, you represent and warrant that you are of legal age to form a binding contract with Tavanta. If you do not meet this requirement or do not agree to these Terms, do not use the Websites.
1. General License and Access
Tavanta grants you a limited, non-perpetual, revocable, terminable at-will, non-assignable, non-sublicensable, and nonexclusive license to use the Websites solely for your personal, informational, and non-commercial use. Except for these Terms, nothing on the Websites is or may be construed as an offer to form a binding contract, or as a grant of any license or a transfer of intellectual property rights.
We reserve the right to withdraw or amend the Websites, and any content, service, or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Websites is unavailable at any time or for any period.
2. Copyright and Trademarks
The Websites and the information on them are the properties of Tavanta or its affiliates and licensors and are protected by United States copyright law, international conventions, and other intellectual property laws. In particular, “Tavanta” and the Tavanta logo are trademarks of Tavanta. Nothing on the Websites grants or should be construed as granting any license or right in or to any trademarks, trade names, logos, or other distinctive brand features, all of which Tavanta explicitly reserves. Any use of the Websites not expressly permitted by these Terms constitutes a breach of these Terms.
3. Privacy and Information Submission
If you submit any information (including personal information or business inquiries) through the Websites, such information will be subject to the Tavanta Privacy Policy. You are solely responsible for the content of any information you send to Tavanta, including its accuracy, truthfulness, and non-infringement of any applicable laws or of any third party’s legal rights.

Any information made available through the Websites is not intended or implied to be a substitute for professional medical advice, diagnosis, or treatment. All content, including text, graphics, images, and clinical pipeline information contained on or available through the Websites, is for general informational purposes only.
Tavanta makes no representation and assumes no responsibility for the accuracy of information contained on or available through the Websites, and such information is subject to change without notice. 5. Prohibited Uses
You agree to use the Websites only for lawful purposes. You may not copy, reproduce, duplicate, distribute, reverse engineer, or modify any part of the Websites. You are strictly prohibited from:
- Using the Websites to transmit unsolicited commercial electronic mail or spam;
- Introducing any malicious code, logic, worms, bugs, software viruses, or Trojan horses (collectively, “Viruses”);
- Engaging in systematic retrieval of data or other content (including using scrapers, data mining, or harvesting tools) to compile a database or directory without prior written permission from Tavanta;
- Interfering with or disrupting servers or networks connected to the Websites.
6. No Warranties
YOUR USE OF THE WEBSITES AND ANY LINKED WEBSITES IS AT YOUR OWN RISK. EVERYTHING ON THE WEBSITES IS PROVIDED TO YOU “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TAVANTA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES REGARDING THE ACCURACY, CURRENCY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF ANY INFORMATION ON THE WEBSITES.
7. Limitation of Liability
NEITHER TAVANTA NOR ANY OF ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, OFFICERS, OR DIRECTORS SHALL BE LIABLE FOR ANY DAMAGES (INCLUDING LOST PROFITS, SPECIAL, PUNITIVE, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITES OR ANY LINKED WEBSITES. IN NO EVENT WILL TAVANTA’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).
8. Indemnification
You agree to indemnify, defend, and hold harmless Tavanta and its affiliates, service providers, contractors, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Websites.
9. Applicable Law and Jurisdiction
Tavanta is based in the United States. If you access the Websites from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. The laws of the State of Delaware, without regard to its conflicts of law principles, will apply to all disputes arising out of or relating to these Terms or your use of the Websites. You explicitly submit to the exclusive personal jurisdiction and venue of the courts located in the State of Delaware.
10. Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
11. Links to Third-Party Websites
The Websites may contain links to websites maintained by other companies (such as clinical trial registries or scientific publications). These links are provided strictly as a convenience. Tavanta has no control over the contents of those websites, does not endorse them, and accepts no responsibility or liability for any loss or damage that may arise from your use of them.
12. Revisions, Severability, and Entire Agreement
Tavanta may modify these Terms at any time without prior notice. All changes are effective immediately upon posting. Your continued use of the Websites following the posting of revised Terms means that you accept and agree to the changes.
If any provision of these Terms is deemed invalid, void, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Tavanta regarding the use of the Websites.
